WASHINGTON
STATE CRIME PREVENTION ASSOCIATION
By Laws

| Article I |
Name: The name of this
Association shall be the "Washington State Crime Prevention Association." |
| Article II |
Duration: The
duration of this Association shall be perpetual. |
| Article III |
Purpose: The
purpose of the Washington State Crime Prevention Association is to contribute to the
reduction of criminal opportunity and criminal victimization in the State of Washington. |

Encouraging the process of crime
prevention in the public, private and voluntary sectors. |
|
b. |
Providing support and guidance for
crime prevention programs and activities. |
|
c. |
Enhancing the development and
implementation of crime prevention programs. |
|
d. |
Stimulating the exchange of ideas
among association members. |
| Article IV |
Registered Office and
Agent: This association shall have and continuously maintain within the State of
Washington a registered office and a registered agent. Said office and agent shall be registered with the Secretary of State of the State of Washington. |
| Article V |
Membership: The
Association may accept into its membership any such person and/or organization as is
deemed acceptable for such membership in any of the five(5) classes of Association membership. Any member may sponsor a new member in any category of membership. Active,
Associate and Volunteer membership shall be approved by the Regional Director for the region in which the applicant resides. Honorary membership shall
be proposed by a member
of the Board of Directors and shall be approved by a majority vote of the Board of
directors. Lifetime Active Membership shall be conferred automatically on all Past Presidents of the Association. |
| Article VI |
Membership: Section 1:
Active Membership
Active Membership shall be open to any persons who are actively employed in the field of
crime prevention, and who are
not engaged in the business of selling, distributing or
promoting crime prevention related products or services. Active members may make motions
and vote at membership meetings, serve on and/or chair committees, see and hold office on
the Executive Board, and enjoy all rights and privileges of full membership in the Association. If an Active member makes a change in employment then such member's status as
an Active Member will continue through the end of the current period for which dues have
been paid. If an Active Member holds office at the time of such change that member may
complete the term of office for which
elected and such member may complete an unexpired
term as
committee member or chair.
Section 2: Associate Membership
Persons involved or interested in the field of crime prevention who do not meet the
criteria for Active Membership are eligible for Associate Membership. Associate members
must be sponsored y a member in good standing. Associate members may serve on standing
and/or ad hoc committees with full committee membership privileges.
Section 3: Volunteer Membership
Persons in an unpaid capacity who are officially affiliated with a recognized
crime
prevention program are eligible for volunteer membership. Volunteer members must be sponsored by a member in good standing. Volunteer members may serve on standing and/or ad
hoc committees
with full committee privileges.
Section 4: Honorary Membership
Honorary membership shall be bestowed upon any person or organization deemed appropriate
by a majority vote of the Board of Directors. Honorary members may attend membership
meetings and shall receive mailings to the membership, but have no other membership
rights.
Section 5: Lifetime active Membership
All Past Presidents of this Association, or other such persons who qualify in the opinion
of a majority of the Board of Directors by virtue of their dedication and service to the
Association shall receive Lifetime Membership as Active members regardless of retirement
or change in work or employment. Lifetime members may only be removed for cause as
provided in Article VII.
Section 6: Discrimination
There shall be no discrimination against race, creed, religion, sex or national origin in
regard to membership within this Association.
Section 7: Voting Rights
The right to hold office or vote upon any issue as may be brought forward by the
Association shall be limited to Active members of the Association who are in good standing
at the time.
Section 8: Disallowance of Membership
This Association reserves the right to disallow membership in the Association to any
individual or organization as may be found by the Board of Directors to detract from the integrity and reputation of this Association. |

VI |
Application for
Membership:
Application for membership In this Association shall be made to the
corporate secretary. Approval for such membership shall be made by a majority vote of the
Board of Directors present at the first regular meeting of the board after receipt of the
application. |
| Article VII |
Suspension and
Expulsion:
The Board of Directors of this Association shall have the power to
suspend or expel any Association member by a majority vote of the Board of
Directors for
any conduct deemed to be a subversive to the interests of the Association.Section1:
Failure to Pay Dues
Failure to pay dues by March 1st of any calendar year shall cause that member to be
removed from the rolls of Association membership. Until reinstatement by payment of said
dues, voting privileges if any) shall be suspended and membership will be terminated at
the end of the calendar
time.
Section 2: Removal from Membership
Any member of this Association may be removed from membership herein, with good cause, by
a majority vote of the Board of Directors. |
| Article VIII |
Dues:
Association
dues shall be paid by Association members each year in amounts in specified in the
following sections. Such dues will be paid to the corporate secretary at the time of
application for membership and on the first day of each calendar year there following.
Dues must be
paid by for voting privileges. If any, within the Association. Dues for
members received after October 1st of any calendar year shall be upheld the first of the
following year and shall be considered for dues for the following
year.Section 1:
Active Membership Dues
As of January 1, 1991, each Associate member shall be required to pay yearly dues of Fifty
Dollars. ($50.00)
Section 2: Associate Membership Dues
As of January 1, 1991, each Associate member shall be required to pay yearly dues of Fifty
Dollars. ($50.00)
Section 3: Volunteer Membership Dues
Each Volunteer Member shall be required to pay yearly dues of Ten Dollars($10.00).
Section 4: Honorary Members
There shall be no dues required of Honorary members.
Section 5: Lifetime Membership Dues
There shall be no dues required for Lifetime members. |
| Article IX |
Meetings of Members:
Meetings of the general membership shall be called at least twice annually by the
Board of Directors. Association members shall be given at least two weeks prior notice of
the time and location of such meetings. It will be there responsibility of the corporate
secretary to provide members with such notice. |
| Article X |
Conduct of Meeting of
Members:
The order of conduct of all meetings of the general membership of the
Association of a regular nature shall be as follows: |

The President of the
Association shall preside at the regular general Association membership meetings. |
| Article XI |
Board of Directors:
The Board of Directors of this Association shall consist of eighteen members; those
being six duly elected Association Officer, eight Regional Directors elected from the Active Membership of the Association, one member from the
Washington Association of
Sheriff's and Police Chiefs (WASPC) and three members at Large, who are approved by a
majority vote of the Board of Directors.Section 1
At no time shall there be more than two members from any one department, agency, or
corporate entity serving in any office of the Association; such offices to include
association officers or member of the Board of Directors.
Section 2
The President of the Association shall chair the Board of Directors and shall preside over
its meetings.
Section 3:
The Board of Directors shall act as judge of any complaint as to the actions of elected
officials and other members of the Association. The Board shall further have the power to
fill any vacancy of Association office when such officer may resign, die, or be removed
from office.
Section 4:
The Board of Directors shall have the responsibility of managing the affairs and
conducting the business of the Association.
Section 5:
A quorum is a number equal to 50% of the board members and regional directors and
specifically excludes member at large appointments. A quorum is necessary for the
transaction of its business at any regular or special meeting of the Board.
Section 6:
The act of a majority of the members of the Board present shall, be an act of the Board of
Directors, except as may be provided by these by-laws or by state law.
Section 7:
With the exception of the three Members at Large and the President, any vacancy occurring
on the Board shall be filled from the Active Membership the Association by a majority vote
of the Board then serving for the expired
term of the Board office. Regional Directors
appointed must reside within the region they represent.
Region 8:
The term of office for the eight Regional Directors shall be two years. Such terms shall
be staggered so that each year there shall be an election for open positions of Regional
Director.
Region 9:
Any member of the Board attending a meeting on behalf of the Association or representing
the Associations responsible for a report distributed to all members of the Board in a
timely
fashion. |
| Article XII |
Officers of the
Association:
The officers of the Association shall be President, President Elect,
Vice-President, Past President, Secretary, Treasurer, WASPC member and
the 3 Members at
large, such officers shall serve for a period of one year and may seek election to
additional terms of office. The WASPC member and three Members at Large can
be reappointed-appointed by the Board of Directors.Section 1:
Each officer shall serve one (1) year term of office that will
begin on the first day of
July and end on the thirtieth day of June of each year.
Section 2:
Each officer may be removed from their office with good cause by the Board of Directors
whenever, in the judgment of the board, the best interests of the Association are served.
Section 3:
With the exception o of the WASPC member or the three Members at large, any vacancy in any
Association office due to death, removal, resignation, or any other cause, may be filled
by the Board of Directors for the unexpired term of that office.
Section 4:
Any Active Member of this Association may seek and be elected to office; provided that an
application for the office president-elect must have served at least one (1) year on the
Board of Directors. In order to ensure continuity of the Board, after his term as
president-elect, the president-elect shall automatically assume the Presidency of the
Association for the next term. Candidates must indicate a willingness to serve as an
officer and be members in good standing of this Association. |

XIII |
Duties of Association
Officers:
The duties of the Association officers shall be as herein enumerated. Section
1 President
The President shall preside at all regular meetings of the Association membership. The
President shall be responsible for the appointment of all committees and their chairs, subject to the approval of the Board of Directors. The President shall be an ex officio
member of all committees. The President shall sign all documents of the Board of
Directors.
Section 2 President Elect/Vice President
In the absence of the President or in the event of his liability or refusal to act, the
president-elect and vice-president, in the order of their designation,
shall perform all
duties of the President, subject to the powers and limitations imposed upon that office by
these By-Laws or by state law. The
President-Elect and Vice-President will also serve in
such other capacities as may be a assigned to them from time to time by
the President or by the
Board of Trustees.
Section 3 Secretary
The Secretary shall keep the minutes of the meetings of the Association Membership in a
book provided for that purpose; see that all notices are duly given in accordance with
these By-Laws; the custodian of the
records of the Association; keep a registered list of
the
post office address of each member of the Association; and, in general, perform all
duties incident to that office. If required by the Board of Directors, the Secretary shall
give bond for such faithful discharge of that office
in such sum and with such sureties as
the Board may direct.
Section 4 Treasurer
The Treasurer shall have charge of all funds and securities of the Association; receive
and give receipt for all monies due the Association from any source whatsoever, and deposit all such fund in such banks, trust companies, or depositories as shall be selected
by the Board, the Treasurer shall give bond for the faithful discharge of the duties of
that office in such sums and with such sureties as the Board may
direct.
Section 5 Immediate Past President
The immediate Past President shall be responsible for the elections and shall chair the
elections committee.
Section 6 Members at Large
There shall be 3 Members at Large appointed by the Board to serve for one year. Members at
large have voting rights and must be approved y a majority of the Board.
Section 7 Washington Association of Sheriff's and Police
Chiefs (WASPC)
The Washington Association of Sheriff's and Police Chiefs member (WASPC) Shall act as
liaison and coordinator between the Washington State Crime Prevention Association and
Sheriff's and Police Chiefs.
The WASPC member shall be primarily responsible for facilitating communication between the Association and the members.
Section 8 Regional Directors
There shall be eight Regional Directors, one from each of the eight regions. Regional
Directress are responsible to their region for dissemination of information, providing
local assistance and facilitating communications between the Board and their Regional
Members. |
| Article XIV |
Standing Committees Section
1
There shall exist five standing committees within the Association each chaired by a member
of the Board.
1. ORGANIZATIONAL DEVELOPMENT whose purpose shall be to increase and define membership
and organizational alliances.
2. PROGRAM SERVICES-TRAINING whose purpose is to conduct all training in accordance
with specified contracts, responding to the needs of crime prevention practitioners.
3. LEGISLATIVE whose purpose is to provide regular communication with legislature and
keep the Association abreast of important legislative issues.
4. FINANCE whose purpose is to work on sources of funding
and bookkeeping.
5. ADMINISTRATION:
Whose purpose is to oversee the basic operations conducted by the
crime prevention association office. The operations will include the day to day activities
of the office, responding to requests for program information and materials, association
are satisfied, including development of training
and staff support for conference, special
events and board meetings.
All committees will consist of no less than three and no more than eight members. each
committee will have at least one Board member. A board member will be on at least one committee and not more than two committees. Board members will coordinate recruiting and
see that each committee
is adequately staffed. Non-members may also be on committees with
the approval of the committee chair. each committee will have a chair appointed by the
President with the exception of the Finance committee and Administrative committee. The
Treasurer will chair the Finance Committee.
The President and President-Elect will
co-chair the Administrative Committee. the chair of each committee will answer to the
Board of Directors and give timely reports as
required.
Section 2 Executive Committee:
There shall exist an Executive Committee consisting of the President, President Elect,
Treasurer, Secretary and one Regional Director on a quarterly rotational basis., the Regional Director will serve on the Executive Committee
for one quarter each year. The
quarter served will correspond with the fiscal year quarter and regional number in
numerical order. The sole purpose of the
Executive Committee is to act on behalf of the
Board of Directors between board meetings. The Executive Committee is chaired by the
President and shall only be activated when the President declares that an emergency
exists
and decision must be reached for the good of the Association or the President deems it
necessary prior to the next regular board meeting. The decisions at the next regular
meeting. |
| Article XV |
Contracts, Checks,
Deposits, and Funds Section 1
The board of Directors may authorize any officer, agent or other such person, in addition
the officer so authorized by these by-laws, to enter into any contract or execute and deliver any instrument in the name of the Association and its behalf. Such authority may
be general in nature or confined to
specific instances. Such authorization by the Board of
Directors must be in writing to be valid.
Section 2
All checks, drafts, or other orders for the payment of money, notes or other evidence of
indebtedness issued in the name of the Association shall be signed by the Treasurer. If
under two hundred and Fifty dollars ($250) must have authorization and the signature of
one Association Officer in addition to the signature of the Treasurer.
Section 3
All funds of the Association shall be deposited from time to time in such banks, trust
companies or other depositories as the Board
of Directors may direct.
Section 4
The Board of Directors may accept on behalf of the Association
any contribution, gift,
bequest, or drive for the general purpose of the Associates.
Section 5
There shall be a review of all financial records of the Association at each meeting of the
Board of Directors. Such records shall be reviewed by a certified public accountant at
least annually. |
| Article XVI |
Books and Records:
The Association shall keep correct and complete books and records of accounts and
shall also keep minutes of the proceedings of its general membership and Board of
Directors and shall keep at the registered office a record of the names and addresses of
those Association members to inspection by any member of the Association or his agent or
attorney for any purpose at any reasonable time. |
| Article XVII |
Certificate of
Membership:
The Board of Directors may provide for the issuance of a certificate of
membership evidencing membership in the Association which shall be in such form or forms of design as the board may direct. Such certificates shall be signed by the Association
President and countersigned by the Association
Secretary. The date of issue will be placed
upon the records of the
Association. If any certificates are lost, destroyed or mutilated,
a new certificate may be issued under such terms as the Board of Directors may direct. |
| Article XVIII |
Fiscal Year: The
fiscal year of this Association shall begin the first
day of July and end the thirtieth
day of June of each year. Robert's Rules of Order, as currently revised, shall be
followed
in al cases where applicable and in which they are not inconsistent
with the
Articles of Incorporation of the By-Laws of this Association
or with state law. |
| Article XIX |
Salaries: No
officer, member of the Board of Directors, or other members of the Association may receive
a salary from the Association for conducting business of the Association, incidental to
their particular office or status with the exception of the Programs manager. The Programs
Manager shall be
paid an amount mutually agreed upon between the Board of Directors and
the employee. A personal services contract shall be negotiated for no longer than a 12
month period. The Administration Committee , chaired by the President
shall make
recommendation s to the Board in all personnel mattress. The Programs Manager shall be
supervised by the President for purposes of chain of command and employed by the
Association.
The Board may authorize payment for the actual expenses and travel allowance
to such officers or members of the board or other member of the Association as may incur
expenses in conducting the business of the
Association. The Association has adopted the
Washington State
Police for per diem, lodging and travel expense. |
| Article XX |
Annual Report: The
Officers of this Association shall file an annual report with the Secretary of State of
Washington as required by the Revised Code of Washington (24.03.295) |
| Article XXI |
Waiver of Notice:
Whenever any notice required to be given to any member or director of this Association
under provisions of RCW 24.03. Or under the Articles of Incorporation the By-Laws of this
Association, a waiver there of in writing, signed by the person or persons entitled to such
notice, whether before or after the time stated herein, shall be equivalent to the giving
of such notice. |
| Article XXII |
Amendments:
The
power to alter, amend, or repeal these By-Laws shall rest with the Board of Directors of
this Association upon majority vote of said Board. |
| Article XXIII |
Elections:
The
elections of Association officers and Regional Directors will be held by mail. The right
to vote for such officers and Regional Directors shall rest with the Active Membership in
good standing as of March 1 of each year. All ballots will be secret in nature. Results of the votes received will be announced at the last general membership meeting of the fiscal
year.Section 1
Officer of the Association shall be nominated and elected by the Active Membership
Section 2
The Washington Association of Sheriff's and Police Chefs member shall be a current, active
member of the Association and voted on by a majority of the elected board members.
Section 3
Eight Regional Directors, one from each of the eight regions, shall be elected by the
Active Membership from that region. The candidates must live within the region they
represent.
Section 4
Region 1 shall include the following counties: Whatcom, Skagit, Island, and San Juan .
Region 2 shall include the following counties: King, Snohomish.
Region 3 shall include the following counties: Clallam, Jefferson, Grays Harbor, Mason,
Kitsap, Pierce, Thurston.
Region 4 shall include the following counties: Pacific, Lewis, Wakiakum, Cowlitz,
Clark, Skamania.
Region 5 shall include the following counties: Okanogan, Ferry, Chelan, Douglas.
Region 6 shall include the following counties: Grant, Kittitas, Klickitat, Yakima.
Region 7 shall include the following counties: Pend Oreille, Stevens, Spokane, Lincoln.
Region 8 shall include the following counties: Franklin, Benton, Walla Walla, Asotin,
Adams, Whitman, Garfield, Columbia.
Section 5
Region 1,3,5,7, board members shall be elected during the odd numbered years.
Region 2,4,6,8, board members shall be elected during the even numbered years.
Section 6
All candidates for any office of the Association shall complete an application for office
and file it with the Election Committee by march 1 of each year. Such application shall
include general information concerning that persons' position on issues relating to crime
prevention and the Association.
The President shall appoint an Election Committee. The committee shall be responsible
for conducting the annual elections. The immediate Past President will chair the Election Committee. No
other present Association officer or board member or candidate shall serve
on this committee. |
| Article XXIV |
Awards: The Board
of Directors of this Association may devise and provide for the issue of any awards as
they see fit for such services, actions, or accomplishments by any persons or organization
deemed deserving of such awards. Awards may be devised for such services, actions, and accomplishments as the institution of an outstanding program in crime prevention or
reduction; a reduction in crime rate, etc. The form and design of such award or awards
shall be as the Board of Directors may direct. Neither the Association, nor any member
thereof, representing the Association, shall publicly endorse any product affiliated with
the prevention of crime. |

Publications:
The
Board of Directors may elect to publish and produce any publication in the nature of a
periodical, pamphlet, text, handbill, or such devise as deemed
appropriate by the board. |
| Article XXVII |
Non-Profit
Organizations:
The Washington State Crime
Prevention Association is organized and
operated exclusively for charitable and educational purposes within the meaning of section
5.02(c) (3) of the Internal Revenue Code, or corresponding section of any future federal
tax code. |
| Article XXIX |
Dissolution:
Upon
dissolution of this Association, assets shall be distributed for one or more exempt
purposes within the meaning of section 501(c) (3) of the Internal Revenue Code, or
corresponding section of any future federal tax code, or shall be distributed to the
Federal Government, or State or Local Government of r a public purpose. |
